Sales Networking Agreement

This Agreement is entered into by Incidr and among the undersigned parties (collectively, the “Members”) for the purpose of collaborating across industries and markets to share sales intelligence, introductions, and business opportunities in a spirit of mutual benefit.

1. Purpose

The purpose of this Agreement is to:

  • Facilitate professional networking among sales professionals across various industries and markets;
  • Encourage the exchange of non-confidential lead intelligence, insights, and referrals;
  • Promote ethical, transparent, and mutually beneficial collaboration in sales prospecting efforts.

2. Membership

  • Membership is open to sales professionals or business developers across non-competing companies.
  • Each Member agrees to participate in good faith and contribute value to the group.

3. Scope of Collaboration

  • Members may share non-confidential insights such as:
    • Key decision-maker roles or behaviors;
    • Company-level prospecting information;
    • Networking opportunities or warm introductions;
    • Best practices or strategies that benefit the group.
  • No Member is obligated to share proprietary data or protected customer information.
  • Collaboration does not create exclusivity or limit Members from pursuing their own independent opportunities.

4. Confidentiality

  • Members agree not to disclose any sensitive information shared by another Member outside the group without prior consent.
  • Information marked “confidential” by the disclosing Member must be treated accordingly.
  • Each Member is responsible for ensuring compliance with their own company’s policies and legal obligations.

5. Code of Conduct

  • Engage with professionalism, transparency, and integrity.
  • Respect boundaries around competitive conflicts and client relationships.
  • Refrain from soliciting clients or prospects of other Members unless invited or permitted.

6. Dispute Resolution

  • In the event of a misunderstanding or disagreement, Members agree to resolve the issue through respectful dialogue.
  • If needed, the group may appoint a neutral Member to mediate.

7. Term & Termination

  • This Agreement remains in effect for the duration of each Member’s participation.
  • A Member may terminate their involvement at any time with written notice to the group.
  • Any breach of confidentiality, unethical conduct, or misuse of shared information may result in removal from the group.

8. No Legal Partnership

Nothing in this Agreement creates a legal partnership, agency, or joint venture between the Members.

9. Acceptance

By submitting your "Request For Invitation", you agree to the terms outlined above and affirm your intention to collaborate ethically and productively with other Members.
